چکیده
در قراردادهای نفت و گاز و پیرو آن­ها در برنامه­ های نفت و گاز، جابه­ جایی داده ­ها میان سرمایه­ گذار (پیمانکار) و کشور میزبان (کارفرما) گریزناپذیر است. از سویی، برخی داده ­ها در صنعت نفت و گاز دارای ارزش بالایی بوده و در رقابت میان شرکت­ های نفتی و کشورهای دارای نفت و گاز کارایی دوچندانی دارد. و از سوی دیگر، در یک نظام حقوقی دادمند، شفافیت که در برابر محرمانگی قرار می­ گیرد، از جایگاه والایی برخوردار است و مرز و اندازۀ محرمانگی را بسته نگاه می­ دارد. ازاین­ رو راهبردی که بند محرمانگی در قراردادهای نفتی و یا قراردادهای محرمانگی که به قرارداد نفتی پیوست می ­شوند، نقش برجسته­ ای در تنظیم سیاست­ های نفت و گاز دارد. در این پژوهش، نخست دو پندارۀ شفافیت و محرمانگی در برابر هم از دیدگاه فلسفۀ حقوق بازشناسی شده، سپس به این پرداخته شده است که در نظام عرفی حقوق بین ­الملل نفت و گاز، کدام­ یک اصل و کدام استثنا به­ شمار می­ رود. برگرفته از آن، مفاد بندهای محرمانگی با در نظر گرفتن رویکردهای گوناگون مورد ارزیابی قرار گرفته است. روش ­شناسی پژوهش نیز توصیفی-تحلیلی است. و در پایان چنین نتیجه ­گیری شده است که به­ کار بردن محرمانگی به­ طور گسترده و تفسیرپذیر و یک­ طرفه با عرف بین ­المللی در تناقض است و افزون بر فراهم کردن بستر فسادهای مالی، برای نگهداری از داده ­های محرمانه نیز کارایی چندانی ندارد.

چکیده English

Abstract
Information in petroleum contracts and petroleum projects is inevitably exchanged between investors (contractors) and host states (owners). There are some data in the petroleum industry that are highly valuable, and they can have a major impact on the competition between oil companies. Within a reasonable legal system, transparency is an essential feature that limits confidentiality. Considering this contrast, it is imperative to understand confidentiality strategies in petroleum contracts. This will help us to devise better policies regarding confidentiality and transparency in the oil and gas industry. In this research, we have distinguished and examined confidentiality and transparency strategies in the petroleum contract. According to the results, a strict confidentiality strategy was the worst strategy because it is at odds with international norms and ineffective for keeping information confidential.
